Thank you for shopping at Dengrove Studios, LLC. By placing an order or registering for a workshop, class or tour, you (“customer”) accept the Terms of Sale set forth below. Please read through our terms thoroughly. These terms may be updated at any time; please check back for updates. The website resides at dengrovestudios.com.


PRICING & PAYMENT TERMS

Purchasing of Media, Products, and/or Services through dengrovestudios.com or shop.dengrovestudios.com requires that the customer provide valid Payment Information as indicated during the checkout process. Dengrove Studios, LLC reserves the right to terminate a customer’s order for any and all purchases where we are unable to process provided Payment Information and an alternative payment form is not provided upon Dengrove Studios, LLC’s written request.

All payments for any fees associated with registration or booking Workshops, Classes, Tours or other Services must be made in full at the time of completing the registration form.

All prices are subject to change without notice and are not guaranteed until payment for Media, Product(s) and/or Services is made in full.

Customer agrees to financially reimburse Dengrove Studios, LLC for all costs incurred during the collecting of amounts owed by the customer to either Dengrove Studios, LLC or third-party vendor including, without limitation, attorneys’ fees and costs of any collection agency used.

The customer is solely responsible for any taxes that they are obligated to pay, or that Dengrove Studios, LLC is required to collect related to any purchase of Media, Product(s), and/or Services. If customer does not pay the required sales and/or other taxes or fees at the time of transaction, the customer will be solely responsible for the taxes and/or fees if they are later determined to be payable for the sale of Media, Product(s) and/or Services. Dengrove Studios, LLC reserves the right to collect the taxes and/or related fees at any time during the purchasing process. In certain jurisdictions, Dengrove Studios, LLC may be required to collect and subsequently remit sales tax relating to any purchase of Media, Product(s) and/or Services. These taxes shall be then added directly to the purchase price of the Media, Product(s) and/or Services and will be included on the respective invoice and/or receipt.


PRODUCT AVAILABILITY

Dengrove Studios, LLC and its vendors may revise or discontinue available Media, Product(s) and/or Services at any time without prior notice. It is possible that these Media, Product(s), and/or Services may become unavailable even after an order is place, in which case Dengrove Studios, LLC will issue a full refund or replacement depending on the customer’s request.


PRODUCT/SERVICE DESCRIPTIONS, PRICING & ERRORS

Dengrove Studios, LLC endeavors to maintain up-to-date and accurate information for all Media, Product(s) and/or Services, available through dengrovestudios.com and shop.dengrovestudios.com, and strives to eliminate any errors. If any errors are detected, Dengrove Studios, LLC encourages the customer to report such errors through our Contact Us page at dengrovestudios.com/contact.

Dengrove Studios, LLC attempts to be as accurate as possible in our content and pricing. However, Dengrove Studios, LLC does not guarantee that all Media, Product Descriptions, Service Descriptions, Photos, Prints, Pricing, or other photographic materials or services are complete, accurate, reliable, current, or error-free. All listed product weights and dimensions are approximate.

In the event that an item is listed at an incorrect price due to typographical, photographic, or technical error or error in pricing information received from our suppliers, Dengrove Studios, LLC shall have the right to refuse or cancel any orders placed for product listed at the incorrect price.

The customer acknowledges that variation in applicable color and/or brightness can vary depending on type of device used to view dengrovestudios.com and shop.dengrovestudios.com, and Dengrove Studios, LLC cannot guarantee that customer computing devices will accurately display all Media and/or Product colors and brightness. Dengrove Studios, LLC and its vendors reserve the right to format, manipulate, or modify any Media and/or Product(s) as required to satisfy each respective order.


PROMOTIONS AND DISCOUNTS

Promotions and discounts are applied when an order is placed, and are saved to customers’ accounts. Customers are unable to get the benefits of a sale after it has ended, regardless of when the items were placed in the cart. Only current prices (sale or not) will be shown and applied in the cart, and only active discounts, promotions, and special offers will be applied to an order during checkout.


PHOTO DOWNLOADS AND PRODUCTS; SHIPPING TERMS AND POLICIES

If any digital download of Media and/or Product(s) is included under purchase agreement, or contract, the download will be made available through dengrovestudios.com or shop.dengrovestudios.com upon receipt of valid Payment Information, or alternatively through an email address provided at the time of purchase. Downloads are only available for a limited time, and it is the responsibility of the customer to save the file following download.

If any physical Media and/or Product(s) are purchased, Dengrove Studios, LLC will use all commercially reasonable efforts in conjunction with third party vendors to ship all orders for such purchases within the estimated delivery time applicable and chosen by the customer presented at order checkout. The customer will not hold Dengrove Studios, LLC responsible for any delays in shipping.

Dengrove Studios, LLC and its utilized vendors reserve the right to substitute another carrier of equal or lesser cost to deliver customer orders at our discretion. The customer accepts all financial responsibility for shipping charges, which will be included, shown, and available for view during the order process. The shipping charge shown during the checkout process is subject to verification and to correction or change without notice. If the actual shipping charge is more than the amount shown in shopping cart, Dengrove Studios, LLC will contact customer with the correct shipping costs before processing the order, and customer will have an opportunity to cancel the order.

Dengrove Studios, LLC is not responsible for lost or stolen packages once they have been delivered. Orders go to a printing lab for fulfillment, once an order has been received by the lab they will process and then ship directly to customer, a confirmation will be sent once an order has been dispatched.


DIGITAL IMAGE LICENSING

Digital Media and/or Product(s) may be available for licensing purchase through dengrovestudios.com and shop.dengrovestudios.com or through contract with Dengrove Studios, LLC. Dengrove Studios, LLC permits the buyer a non-exclusive, non-transferable perpetual, non-commercial license to download and copy the agreed upon Media and/or Product(s), of which are subject to the below restrictions unless customer is provided a separate written usage/licensing agreement by Dengrove Studios, LLC as part of their purchase.

Customer understands and agrees they are not buying the actual digital Media and/or Product(s) but are paying for a license to use the Media and/or Product(s) as specified.:
• The license is solely to be used for personal use and non-commercial work. No commercial use of the Media is permitted under this agreement including posting to pay sites, use in advertising or marketing in print, social media, and on the web, in addition to any other advertising medium, unless a commercial license is purchased. Title, ownership, copyright, and all rights both current and in the future, of the Media and/or Product(s) will belong exclusively to Dengrove Studios, LLC. There are no warranties, express or implied under this provision, and the customer accepts that the Media and/or Product(s) are provided ‘as is’.
• Customer may not re-license or sell ownership of the Media and/or Product(s) to anyone else without prior written approval of Dengrove Studios, LLC.  This includes reselling the Media and/or Product(s) or placing them in stock for profit and it is a violation of the copyright agreement.
• Under this provision, neither Dengrove Studios, LLC and/or utilized vendors will be held liable for any additional third-party claims, incidental, consequential, or otherwise alleged damages arising out of the license or buyer’s use of the purchased Media and/or Product(s).
• A commercial license may be available upon request, and will require an additional contractual agreement between Dengrove Studios, LLC and the customer.
• Customer agrees they will not make or permit any alterations, including, but not limited to, filters, additions, subtractions, or adaptations, with respect of the Media and/or Product(s), alone or with any other material, without the prior express written permission of Dengrove Studios, LLC.


ORDER ACCEPTANCE POLICY

Customer submission of an order and/or receipt of an order confirmation, automated or otherwise, does not signify our acceptance of such order. Dengrove Studios, LLC reserves the right to cancel any order that we deem necessary, at our sole discretion, regardless of the order status or whether customer has received a confirmation of the order. We reserve the right to require additional information from customer before accepting or processing any order.


DISCLAIMER AND LIMITATION OF LIABILITY

Unless otherwise noted, because of the custom nature of the transaction, and the prevalence of illegal reproduction facilities, Media and/or Product(s) sold by Dengrove Studios, LLC are non-refundable. Replacement items for damage in shipping or misidentified images will be honored according to our Return Policy listed below.

Dengrove Studios, LLC makes no representations or warranties, either express or implied, of any kind with respect to Media, Product(s) and or Services sold. Dengrove Studios, LLC expressly disclaims all warranties, express or implied, of any kind with respect to products sold on this site, including but not limited to, merchantability and fitness for a particular purpose.

Customer agrees that the sole and exclusive maximum liability to Dengrove Studios, LLC arising from any Media, Product(s) and or Service sold on this website shall be the price of the product ordered. In no event shall Dengrove Studios, LLC, its officers, employees or other representatives be liable for special, indirect, consequential, or punitive damages related to products sold. Customer agrees that Dengrove Studios, LLC, its officers, employees or other representatives shall not be liable for damages arising from the operation, content or use of dengrovestudios.com and shop.dengrovestudios.com.

Customer agrees that this limitation of liability is comprehensive and applies to all damages of any kind, including without limitation direct, indirect, compensatory, special, incidental, punitive and consequential damages.


EXCHANGE POLICY

Dengrove Studios, LLC does not accept exchanges. If an incorrect size, incorrect print, or incorrect product is ordered by a customer, the customer is solely responsible for the costs of the product and its shipping costs billed at time of purchase. If the mistake was caught prior to order fulfillment, there may be a possibility to correct and issue a refund and/or order the correct product. If this occurs, please contact us through our Contact Us page at dengrovestudios.com/contact as soon as possible as this window of time to correct an order prior to fulfillment is extremely short and depends on many factors.


RETURN POLICY

Dengrove Studios, LLC is a small business that produces all frames, prints and products as ordered and are not able to accept returns. Dengrove Studios, LLC will ONLY accept returns for visually or physically defective products provided Dengrove Studios, LLC is notified within ten (10) days of customer receipt of the physical product(s), which is determined by the delivery date by carrier.

The customer is responsible for all return shipping costs. Upon successful completion of the return process, and receipt of the returned product, the customer will have the option to either accept a new item of the purchased Media and/or Product or be issued a full refund of the purchase price paid by the customer less shipping costs, unless the product has been determined to be damaged in anyway as a result of the customer.

Any dissatisfaction with color, print type/media, or other similar attributes and reasoning will not be accepted as valid reasons for return. Dengrove Studios, LLC may provide a reprint if there are any visual defects that result directly from the printing process. If the package is damaged during shipment, please reach out to us as soon as possible and send photographs/images of the product packaging “as-received” by customer.

Due to the delivery nature of digital Media and/or Product(s)(i.e., photo download, software preset, etc.) all sales on digital Media and/or Product(s) are final and returns will not be accepted.


REFUND POLICY

All sales for Media, Product(s) and/or Services are final and non-refundable.

Refunds for Workshops, Classes and Tours directly managed by Dengrove Studios, LLC will be provided according to the Refund Policy listed on the registration/booking page of each individual Workshop, Class or Tour and vary based upon conditions, venues, third party ticket purchases, time of year and registration requirements.

Refunds will not be given for no shows or latecomers. Customers are required to provide their own transportation to and from Workshops, Classes and Tours, unless otherwise stated on the registration/booking page. Prior to the Workshop, Class or Tour customer will be emailed instructions for arriving at the venue, logging on to the online platform, and what to bring with them. Refunds will not be given for any customer failing to view, read or understand instructions sent, or for instructions that get delivered to a customer’s junk or spam folder.

There may be rare circumstances in which a Workshop, Class or Tour directly managed by Dengrove Studios, LLC may need to be cancelled. In such circumstances, Dengrove Studios, LLC will select an alternative date. If customer cannot attend the alternative date, a credit will be given for use towards a future Dengrove Studios Workshop, Class or Tour. In the circumstance that a force majeure occurrence prevents Dengrove Studios, LLC from holding a Workshop, Class or Tour, directly managed by Dengrove Studios, LLC, Dengrove Studios, LLC will provide a full refund of the amount of the registration fees paid directly to Dengrove Studios, LLC by customer.

Regarding Workshops, Classes and Tours advertised and taught by Dengrove Studios, LLC but managed by third party vendors (i.e. Bronxville Adult School, Scarsdale Adult School, etc.), the individual refund policies of the third-party vendor will apply.


COPYRIGHTS AND TRADEMA?RKS

All materials appearing on dengrovestudios.com and shop.dengrovestudios.com are the property of Dengrove Studios, LLC. Materials protected by this copyright include, any and all images and any and all text; (including logos and other graphics); and any and all design elements of the website.

Customer may use the content on dengrovestudios.com and shop.dengrovestudios.com for shopping, placing an order on this site, or for conducting other tasks associated directly with, and for the sole purpose of, shopping on this site or placing an order on this site.

Unauthorized use of the materials appearing on dengrovestudios.com and shop.dengrovestudios.com may violate copyright, trademark and other applicable laws and could result in criminal or civil penalties. By placing an order at dengrovestudios.com or shop.dengrovestudios.com, a customer has agreed to the total amount of the sale, and authorized Dengrove Studios, LLC to collect payment via the payment method the customer specified.
